总部设于英国的能源巨头壳牌已与匈牙利石油天然气集团MOL Group达成协议,将以最高 7.2 亿美元的价格,出售其全资持有的子公司 BG Cyprus Limited。
BG Cyprus持有塞浦路斯东地中海12号区块阿芙罗狄蒂(Aphrodite)气田35%的非运营权益,该气田具体坐落于塞浦路斯东南海域约170公里处。
Aphrodite气田于2011年发现,后续通过多轮勘探钻井完成储量评价,预估天然气资源量约 1040 亿立方米(折合 6.32 亿桶油当量),另有 800 万桶凝析油。气田投产后,所产天然气计划定向供应至埃及天然气控股公司(Egyptian Natural Gas Holding Company, EGAS)。
在Aphrodite合资项目中,BG Cyprus的合作方包括:雪佛龙塞浦路斯有限公司(Chevron Cyprus)担任作业者,持股35%;NewMed Energy持有30%非运营权益。交易交割完成后,MOL Group将承接壳牌该笔权益对应的全部权利与义务。
回溯历史,BG Group2015 年依托 BG Cyprus 拿下该气田权益;壳牌在 2016 年 2 月收购 BG Group,BG Cyprus 随之纳入壳牌旗下。
壳牌表示,埃及依旧是集团重点市场,公司在当地仍保留着规模可观的业务布局。壳牌综合天然气业务总裁 Cederic Cremers 称:“我们依旧看好 Aphrodite 气田的开发价值,该项目将为区域能源保供起到重要支撑作用。此次退出决策,是基于严守资本投放与资产组合优化布局的考量,集团现阶段重点布局能够强化一体化 LNG 价值链的优质项目。”
Aphrodite 气田开发规划包含钻设 4 口生产井、建造一座独立浮式生产设施;项目拟定 2027 年做出最终投资决定,2031 年产出首批天然气。项目配套铺设一条总长 250 公里的海底管道,接入埃及本土天然气输送管网。
本次交易尚待获得监管批准并满足各项交割条件,预计于2027年初完成。
MOL Group董事长兼首席执行官 Zsolt Hernádi 表示:“本次收购契合集团勘探开发整体战略:夯实全球油气资产布局,同步与行业头部国际企业搭建战略合作关系。布局塞浦路斯、开拓欧盟市场是集团关键发展里程碑。这一大规模、长周期海上天然气资产既可承接集团长期产量目标,也能推动油气储量规模大幅提升。自2019年入股阿塞拜疆ACG大型油气田以来,该项目是MOL Group勘探开发板块最具前景的增长机会。我深信,它将在塑造集团未来业务格局方面发挥关键作用。"

UK-headquartered energy giant Shell has reached an agreement with Hungarian multinational oil & gas company MOL Group for the sale of its 100%-owned subsidiary BG Cyprus Limited for up to $720 million.
BG Cyprus holds a 35% non-operated interest in the Cyprus Offshore Block 12, containing the Aphrodite gas field located approximately 170 kilometers southeast offshore, in the eastern Mediterranean.
Discovered in 2011 and appraised through subsequent drilling campaigns, it is estimated to hold around 104 bcm (632 MMBoe) of contingent gas and 8 MMbbl condensate resources. The produced gas is expected to be sold to the Egyptian Natural Gas Holding Company (EGAS).
BG Cyprus' partners in the Aphrodite joint venture include Chevron Cyprus as the operator with a 35% interest and NewMed Energy with a 30% non-operating interest. Upon completion of the transaction, MOL will assume Shell's rights and obligations associated with the interest.
To remind, BG Group acquired the Aphrodite interest in 2015 through BG Cyprus, which then became a Shell subsidiary following the UK major's acquisition of BG Group in February 2016.
According to Shell, Egypt remains an important country for the company, with a significant presence remaining.
“We believe Aphrodite remains an attractive development opportunity and will play an important role in supporting regional energy needs,” said Cederic Cremers, Shell's Integrated Gas President. “Our decision to exit is driven by disciplined capital allocation and portfolio choices, as we focus on opportunities that strengthen our integrated LNG value chain.”
The development plan of the Aphrodite field includes the drilling of four wells and the establishment of an independent floating production facility. The final investment decision (FID) is planned in 2027, with first gas expected in 2031. The project also includes the construction of a 250-kilometer subsea pipeline linked to Egypt's gas transmission network.
The transaction is expected to complete in early 2027, subject to regulatory approval and closing conditions.
“This step is also in line with our E&P strategy that focuses on strengthening our international portfolio while building strategic partnerships with highly reputable international companies. Our entry into Cyprus and our expansion within the EU represent important milestones for us as this large-scale, long-life offshore gas development asset supports our long-term production targets and will enable us to achieve significant growth in our reserve base,” said MOL Group Chairman and CEO Zsolt Hernádi.
“This project represents the most promising growth opportunity for MOL Group's E&P business since acquiring a stake in the giant ACG field in Azerbaijan in 2019, and I am confident it will play a key role in shaping our future business lines.”
